Irish agribusiness enters Brazil

Demarest Advogados in São Paulo has helped Irish agricultural-services group Origin buy a 65% interest in Brazilian counterpart Fortgreen for 179 million Brazilian reais (US$48 million).
The firm also helped Origin acquire a 20% stake in Brazilian agribusiness Ferrari e Zagatto, for an undisclosed amount.
Most of the same shareholders own both Ferrari e Zagatto and Fortgreen. They relied on Lobo de Rizzo Advogados in São Paulo and are also thought to have hired Philip Lee in Ireland, but this could not be confirmed prior to publication. Irish firm Arthur Cox is understood to have helped Origin.
Origin will pay an additional 39 million Brazilian reais (US$10 million) for Fortgreen if it meets specific undisclosed profit targets. The agreement also allows it to buy the remaining 35% interest in the target.
Origin can acquire an additional 40% share in Ferrari e Zagatto until 2020.
Fortgreen and Ferrari e Zagatto are based in the southern state of Paraná. The companies provide services to the agribusiness sector related to crop nutrition and crop technology. Their acquisition marks Origin’s entry into the Brazilian market.
Both deals were signed on 18 June.
