Souza Cescon and Lobo de Rizzo fuel power company’s debentures

Souza, Cescon, Barrieu & Flesch Advogados has helped Brazilian electricity generator ENERCAN – Campos Novos Energia issue debentures worth 640 million Brazilian reais (around US$201 million).
Bradesco BBI was the arranger for the transaction and enlisted Lobo de Rizzo Advogados. The offering closed on 27 September.
The independent power company is owned by Brazilian state-run electricity company CPFL, energy company Votorantim Energia and business group CEEE, and operates the Campos Novos hydroelectric power plant in the state of Santa Catarina. The power plant has a total installed capacity of 880 megawatts.
Souza Cescon’s partner, Daniel Laudisio, describes the issue as the latest indicator that Brazil’s debt capital markets are getting back on track. “There is appetite by local investors for debt securities, particularly those secured by low-risk receivables. The transaction was of particular importance to the shareholders of the issuer, as it provided the issuer with enough liquidity to upstream cash to them.” Shareholder Votorantim sought additional in-house counsel for the issuance. Votorantim holds an approximate 44.8% share in ENERCAN, while CEEC and CPFL hold 6.5% and 48.8% respectively.
A little over two months ago, ENERCAN won an award for “best company in the Brazilian electricity sector” from Brazilian magazine Valor, the second time it has received the accolade. The award is based on several criteria, including net revenue, operating income, sustainable growth and profitability. ENERCAN last tapped the capital markets in 2010.
