Lobo de Rizzo Advogados in São Paulo is advising Canadian minerals company GrowMax on its proposed acquisition of Brazilian animal feed and plant product producer Fertimar.
GrowMax will purchase Fertimar from asset management companies Parsec Capital and Four Joses Holdings.
The target company relied on Cassels Brock & Blackwell LLP in Toronto for the deal, which was signed on 20 August.
The sellers are thought to have relied on in-house counsel. Castro, Barros, Sobral, Gomes Advogados is thought to have provided Brazilian counsel to Fertimar, and McCarthy Tétrault LLP Canadian counsel to GrowMax, but these could not be confirmed prior to publication.
A special shareholders’ meeting is scheduled to take place on 25 September for GrowMax’s shareholders to approve the acquisition. If approved, the deal will see GrowMax wholly acquire Fertimar in exchange for 50% of its own common shares.
GrowMax focuses on the exploration and development of phosphate and potassium sources in Peru. Latin Lawyer understands that its acquisition of Fertimar would mark its entry into the Brazilian market.
