IDB issues first reais-backed guarantee for wind project
Paul Hastings LLP in New York and São Paulo, and Lobo de Rizzo Advogados in São Paulo have helped wind farm operator Santa Vitória do Palmar Energias Renováveis obtain project finance worth 784.3 million Brazilian reais (US$189 million) through two loans and an unprecedented debt issuance.
Santa Vitória do Palmar issued infrastructure debentures worth 105 million reais (US$25.2 million), which are fully guaranteed by the Inter-American Development Bank (IDB) through its private sector affiliate, IDB Invest. Both IDB and IDB Invest relied on Clifford Chance LLP in Washington, DC, and Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados in Rio de Janeiro and São Paulo for the deal, which closed on 31 July. The underwriters relied on Machado Meyer Advogados in São Paulo.
Alongside the issuance, Santa Vitória do Palmar also got two loans from government-owned development banks BRDE and BNDES. These loans are worth 230 million reais (US$55 million) and 449.4 million reais (US$107.7 million) respectively. Mattos Filho also advised the six commercial banks that structured the letters of credit to guarantee the BNDES and BRDE loans.
Funds from the issuance and the loans will be used to develop a 207-megawatt wind project located in the southern state of Rio Grande do Sul.
The loans and the IDB guarantee are secured by the wind project’s assets, credits and shares, as well as by other additional corporate guarantees provided by the companies involved in the project. This is thought to be the first time the IDB has provided a guarantee in reais for a wind project debentures issuance.
The Santa Vitória do Palmar wind farm has been operational since 2017 and is made up of 12 wind turbines. Developed by Madrid-based Acciona, the wind farm is owned by green energy supplier Atlantic Energias Renováveis, which itself is fully owned by UK-based private equity company Actis.
