On September 11, 2025, the Office of the Comptroller General (CGU) published Normative Ordinance SE/CGU No. 226, which establishes criteria and procedures for evaluating Compliance Programs, in accordance with Decree No. 12,304/2024. The regulation provides for the assessment of corporate compliance programs in three specific situations: &nbsp;<img class="image_resized" style="width:75%;" src="https://d1nwhe1xgpgddb.cloudfront.net/Imagem1_ING_de24c46ceb.png" alt="Imagem1_ING.png" srcset="https://d1nwhe1xgpgddb.cloudfront.net/Imagem1_ING_de24c46ceb.png 245w, https://d1nwhe1xgpgddb.cloudfront.net/Imagem1_ING_de24c46ceb.png 500w, https://d1nwhe1xgpgddb.cloudfront.net/Imagem1_ING_de24c46ceb.png 750w, https://d1nwhe1xgpgddb.cloudfront.net/Imagem1_ING_de24c46ceb.png 1000w" sizes="100vw" width="1000">Evaluation parameters include senior management commitment, existence of a code of ethics and compliance policies, risk management mechanisms, reporting channels, disciplinary measures, third-party due diligence, and continuous program monitoring. Factors such as company size, industry sector, and level of interaction with the public administration are also considered.For large-scale public contracts (BRL 251 million or more), the Ordinance establishes that contracts with the Federal Executive Branch must submit documents and information which evidence the implementation of the Compliance Program within thirty (30) days following the end of the six-month period from the contract’s signing.The submission must be made through the Compliance Programs Assessment and Monitoring System (SAMPI), by completing the profile and conformity forms. Companies already certified under the CGU’s Empresa Pró-Ética Program, or currently undergoing evaluation by the CGU, may be exempted from submission.The Ordinance also provides that having implemented an effective Compliance Program can be used as a tie-breaking criterion in public bids. This requirement can be demonstrated through:&nbsp;→ Self-assessment under the Pacto Brasil pela Integridade Empresarial, valid for up to twenty-four (24) months; → Inclusion in the list of companies recognized under the Empresa Pró-Ética Program; or → Assessment conducted in the past twenty-four (24) months by compatible public authorities. Public bodies and entities must explicitly include in bidding notices the possibility of using the Compliance Program as a tie-breaking criterion, in accordance with the Ordinance’s parameters.From a business and legal perspective, the Ordinance has direct implications for companies contracting with the Public Administration, particularly in large-scale contracts. Starting sixty (60) days after its publication, companies involved must ensure proper implementation of their Compliance Programs, not only to comply with legal requirements but also to potentially benefit in bidding processes by using the effectiveness of their programs as a tie-breaking criterion. &nbsp;

Em 11 de setembro de 2025, a Controladoria-Geral da União (CGU) publicou a Portaria Normativa SE/CGU nº 226, que define critérios e procedimentos para avaliação de Programas de Integridade, em conformidade com o Decreto nº 12.304/2024. Também serão considerados aspectos como porte, setor de atuação e grau de interação com o poder público. Para contratações públicas de grande vulto (a partir de R$ 251 milhões), a norma define que os contratos firmados com o Poder Executivo Federal deverão apresentar os documentos e informações que comprovem a implantação do Programa de Integridade em até 30 (trinta) dias após o término do prazo de 6 (seis) meses da assinatura do contrato. A comprovação deverá ser submetida por meio do Sistema de Avaliação e Monitoramento de Programas de Integridade (SAMPI), mediante o preenchimento dos formulários de perfil e de conformidade. Nesse cenário, empresas já certificadas pelo Programa Empresa Pró-Ética da CGU, ou em processo de avaliação em curso pelo órgão, poderão ser dispensadas da submissão. A nova Portaria prevê, ainda, que a existência de um Programa de Integridade efetivo pode ser utilizada como critério de desempate em licitações. A comprovação desse requisito poderá ocorrer por meio de:&nbsp;→ Autoavaliação no Pacto Brasil pela Integridade Empresarial, com validade de até 24 (vinte e quatro) meses; → Inclusão na lista de empresas reconhecidas pelo Programa Empresa Pró-Ética; ou → Avaliação realizada nos últimos 24 (vinte e quatro) meses por órgãos públicos compatíveis. Além disso, os órgãos e entidades da Administração Pública Federal devem prever expressamente nos editais de licitação a possibilidade de utilização do Programa de Integridade como critério de desempate, em conformidade com os parâmetros estabelecidos pela Portaria.Do ponto de vista empresarial e jurídico, a Portaria traz efeitos diretos para as companhias que contratam com a Administração Pública, especialmente em contratações de grande vulto. A partir de sua entrada em vigor – prevista para 60 (sessenta) dias após a publicação –, as empresas deverão estar atentas à implementação de seus Programas de Integridade, não apenas para atender às exigências legais, mas para potencialmente se beneficiar em processos licitatórios, utilizando a efetividade de seus programas como critério de desempate.

Through Ordinance No. 851/2025, the Ministry of Mines and Energy (MME) has launched Public Consultation No. 191/2025 to gather feedback on a proposed methodology for identifying marine areas to be made available for offshore wind development. Prepared by the Energy Research Office (EPE), the proposal outlines technical and regulatory criteria to guide the identification and prioritisation of suitable areas. The Brazilian Supreme Court (STF) has ordered the suspension of all ongoing lawsuits in the country that discuss the hiring of professionals as legal entities or independent contractors. The decision was made under Topic 1.389 (leading case RE 1.532.603), which will be judged with general repercussion, and addresses three fundamental questions:<ul><li>Who should judge these cases: Labor Courts or Common Courts?</li><li>To what extent is it lawful to hire legal entities/independent contractors, considering companies' freedom of organization and professionals' autonomy of will?</li><li>Who bears the burden of proving whether fraud occurred or not: the professional or the company?</li></ul>The decision exposes a scenario of growing legal uncertainty: while the Supreme Court has recognized the validity of different forms of productive organization, part of the Labor Courts continue in the opposite direction, generating conflicting decisions and instability in contractual relationships.What this means for companiesAlthough the lawsuits are temporarily suspended, the legal risk persists – and how each company structures itself today can be decisive when the final judgment occurs.More than ever, companies (through their legal, HR, and compliance departments) need to:<ul><li>Review service proposals and contracts, especially with professionals who work individually and personally: language, scope, autonomy clauses, and absence of subordination;</li><li>Create evidence of providers' effective independence (e.g., no requirement for working hours, relativization of exclusivity obligations, and format of service execution);</li><li>Reassess internal policies and train leadership, ensuring that practice reflects the contractual model adopted – inconsistency between the type of contract and reality is the greatest risk factor;</li><li>Monitor suspended lawsuits and evaluate impacts on labor liabilities, with contingency plans and adequate provisioning for risk.</li></ul>Future opportunitiesDespite the current tension, the judgment of Topic 1.389 may represent a relevant turning point for the business environment in Brazil, with greater predictability for hiring via service provision contracts, provided it is done in a lawful and well-structured manner.For companies with robust operations or flexible service provision models, this is a strategic moment to review structures, mitigate risks, and position themselves for a potentially more stable and legally predictable future scenario. Beyond legal protection, being prepared for this new environment can mean a competitive advantage: companies that correctly structure their hiring processes can benefit from greater operational flexibility, cost reduction, and attractiveness in the labor market.Our team has been closely monitoring the progress of this topic in the Supreme Court and has been advising companies on reviewing contracts and internal practices – always focusing on legal protection and adapting hiring methods to business needs.
